USD End User License Agreement
This End User License Agreement ("Agreement") is a binding legal document between you (the "End User") and WPCodeQuill, operated by S.Makur (the "Developer"). By purchasing, installing, or using the software provided by the Developer, you agree to be bound by the terms and conditions outlined below.
1. General License and Domain Usage
By default, all software purchases grant a non-exclusive, non-transferable license to install and use the software on a single production domain. You are strictly permitted to use the license key on one primary website and its associated local/staging development environment.
1.1 Add-on Domain Permissions
If you wish to use the software on additional domains beyond the default single-domain allocation, you may purchase an Add-on Domain Permission. Each purchased add-on explicitly authorizes one additional production domain to utilize the software under the exact same terms as your original base package (Regular or Extended).
2. License Packages
Depending on your purchase, your license falls under one of the following tiers:
Regular License (1-Year Plan)
- Duration: One (1) year of access to technical support and product updates from the date of purchase.
- Functionality: Upon the expiration of the one-year term, the software will remain fully functional on your authorized domain, but access to future updates, security patches, and support will require a license renewal.
- Benefits: Includes free support, future product updates during the active term, a high-quality product standard, and our lowest price guarantee.
Extended License (Lifetime Plan)
- Duration: Lifetime access to technical support and product updates. "Lifetime" signifies the active, maintained lifespan of the software product by the Developer.
- Billing: This package consists of a one-time fee with no recurring annual renewals required for the life of the product.
- Benefits: Includes lifetime support, lifetime product updates, a high-quality product standard, best-in-class service, and our lowest price guarantee.
3. Prohibitions on Resale and Distribution
Unless explicitly authorized through a Reseller License (see Section 4), you may not distribute, resell, share, lease, or sublicense the source code, whether modified or unmodified, to any third party. The software cannot be included as part of a product you sell, bundled with a hosted service, or distributed via unauthorized platforms.
4. Retailer and Reseller Licenses
Users who wish to resell the software may purchase a Reseller License. This specific license grants you permission to resell Retailer or Reseller software licenses to your own clients.
- Establishing a Reseller Deal: Retailer and Reseller Licenses are not available as standard checkout items and require a custom agreement.
- How to Apply: To set up a Retailer or Reseller License deal, you must contact WPCodeQuill Business directly via WhatsApp. Pricing and specific resale terms will be established during this consultation.
5. License Key Validation and Tampering
This software operates utilizing a remote license validation framework. Any attempt to bypass, modify, disable, or circumvent the license validation mechanisms, or the use of unauthorized or shared license keys, is strictly prohibited. Engaging in such actions will result in the immediate and permanent termination of your license, loss of support, and revocation of update access without a refund.
6. Modification Rights
You are permitted to modify the software code to suit the specific needs of your authorized domain(s). However, you may not claim ownership or authorship of the modified software, nor distribute, repackage, or sell the modified version under your own brand or name. The Developer retains all copyrights to the core framework.
7. Limitation of Liability
The software is provided "as is", without warranty of any kind, express or implied. In no event shall the Developer be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, data, or data use, incurred by you or any third party arising from your use or inability to use the software.
8. Termination
The Developer reserves the right to terminate this Agreement immediately if you fail to comply with any of the terms outlined herein. Upon termination, you must cease all use of the software and permanently destroy all copies in your possession.
